A UK subsidiary can file unaudited accounts when its UK parent guarantees all its liabilities at the year end. There is no size limit.
We confirm the parent is UK-established, the subsidiary is consolidated and the exemption is disclosed.
We prepare the written notice for every member to sign, showing the subsidiary's name, number and section 479A.
We complete the parent's statement of guarantee, ready for the parent to sign.
Download the complete package, with a checklist and filing order, to file on or before your accounts.
A missing or mismatched document can invalidate the exemption. We check every piece before you file.
All five conditions must be met for the financial year. If one fails, the subsidiary needs an audit.
The subsidiary's balance sheet must also state that it was entitled to exemption from audit under section 479A.
The audit exemption saves the cost of a subsidiary audit, but the AA06 guarantee is a lasting commitment. Directors should weigh both before signing.
Timing matters. The members' notice, AA06 and parent accounts must reach Companies House on or before the date the subsidiary's accounts are filed.
Spontaneous feedback from accounting firms, group companies, SMEs and charities we file for - verified independently on Trustpilot.

Section 479A of the Companies Act 2006 lets a UK subsidiary file unaudited accounts if its UK parent guarantees the subsidiary's outstanding liabilities at the financial year end. There is no size limit for this exemption.
The parent must be established under the law of any part of the UK. All members of the subsidiary must agree, the parent must give a section 479C guarantee, the subsidiary must be included in the parent's consolidated accounts, and those accounts must disclose that the subsidiary is exempt from audit.
A written notice that all members agree to the exemption, form AA06 (the parent's statement of guarantee), and the parent's consolidated accounts with the auditor's report. They must be delivered on or before the date the subsidiary's accounts are filed.
£60 per subsidiary, per financial year. This covers checking eligibility and preparing the audit exemption package. Filing with Companies House is not included. iXBRL tagging of the subsidiary's accounts is £20 for the first page and £4 per additional page. Prices exclude VAT.
